These Terms & Conditions ("Terms") govern your access to and use of the RIO AI Shopify application, the retailrio.com website, and all related services (collectively, the "Service") provided by RIO AI ("we", "us", or "our").
1. Acceptance of these terms
By installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not install or use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
RIO AI is an AI-powered shopping assistant for Shopify stores. The Service may include, among other features:
- A conversational chat widget for store visitors
- AI-generated product recommendations
- In-chat product cards, cart actions, and order tracking
- A merchant dashboard with analytics and configuration tools
We may update, modify, or discontinue features at any time. Material changes affecting paid subscribers will be communicated in advance where reasonably practical.
3. Accounts & eligibility
To use the Service you must:
- Have an active Shopify store and a Shopify account in good standing
- Be at least 18 years old or the age of majority in your jurisdiction
- Provide accurate information during installation and keep it up to date
You are responsible for safeguarding access to your account and for all activity that occurs under it.
4. Fees & billing
The Service is offered on a Free plan and several paid subscription plans, as listed on our Pricing page. Paid plans are billed monthly through Shopify's billing system unless otherwise stated.
- Fees are charged in advance and are non-refundable except as required by law.
- You may upgrade, downgrade, or cancel your subscription at any time through Shopify or your dashboard.
- If your Shopify account becomes delinquent, we may suspend the Service until payment is restored.
- We may change pricing with at least 30 days' notice; changes will not affect the current paid billing cycle.
5. License & restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for the operation of your Shopify store.
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use the Service to build a competing product
- Resell, sublicense, or redistribute the Service
- Use the Service to transmit unlawful, harmful, infringing, or fraudulent content
- Probe, scan, or attempt to bypass the security or rate limits of the Service
- Use automated means to extract bulk data from the Service except via our supported interfaces
6. Merchant content
You retain all rights to the content you submit or sync to the Service, including product data, branding, and policy text ("Merchant Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display your Merchant Content solely as necessary to provide the Service to you.
You are responsible for ensuring you have the rights to use and share the Merchant Content with the Service.
7. AI-generated responses
The Service uses artificial intelligence to generate responses to shoppers. AI-generated content can sometimes be inaccurate, incomplete, or unexpected. While we work to keep responses helpful and aligned with your store, you acknowledge that:
- AI responses are generated probabilistically and may contain errors.
- You are responsible for reviewing the chat behavior on your store and configuring policies, FAQs, and tone via the dashboard.
- AI responses do not constitute legal, medical, financial, or other professional advice.
8. Third-party services
The Service depends on third-party providers including Shopify, cloud hosting providers, and AI infrastructure providers. We are not responsible for the availability, content, or actions of those third parties, and your use of their services is governed by their own terms.
9. Privacy
Our handling of personal data is described in the Privacy Policy. By using the Service you agree to the data practices described there.
10. Suspension & termination
You may stop using the Service at any time by uninstalling RIO AI from your Shopify store.
We may suspend or terminate your access to the Service immediately, without notice, if:
- You materially breach these Terms
- Your use poses a security or legal risk
- We are required to do so by law or by Shopify policy
Upon termination, your right to use the Service ends and we will revoke access in accordance with Shopify's app uninstall flow. Sections that by their nature should survive termination (including license restrictions, disclaimers, limitation of liability, and indemnification) will survive.
11. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.
We do not warrant that AI responses will result in any particular sales outcome, conversion rate, or business performance.
12. Limitation of liability
To the fullest extent permitted by law, RIO AI and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, or lost data, arising out of or related to your use of the Service.
Our total aggregate liability for any claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months immediately before the event giving rise to the claim, or (b) USD 100.
13. Indemnification
You agree to defend, indemnify, and hold harmless RIO AI and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your Merchant Content
- Your violation of these Terms or applicable law
- Your violation of any third-party right, including the rights of your customers
14. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date and, where reasonable, notify active merchants by email or in-app notice. Continued use of the Service after the updates take effect constitutes acceptance of the revised Terms.
15. Governing law
These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws rules. Disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales, except where local consumer protection laws require otherwise.
